These Terms of Service (“Terms“) are a legal agreement between you and GROW INSIGHT SOLUTIONS PTY LTD (ABN 89679269508) (“GrowInsight“, “we“, “us“, “our“). They govern your use of the GrowInsight marketing website at growinsight.io and the GrowInsight web application at app.growinsight.io (together, the “Service“).

By accessing the website, creating an account, or using the application, you agree to these Terms. If you do not agree, do not use the Service.

We’ve tried to keep the language plain. If anything is unclear, email us at hello@growinsight.io and we’ll explain.

1. Definitions

In these Terms:

  • “Customer” means the practice or organisation that holds a GrowInsight account.
  • “User” means an individual person who accesses or uses the Service, including the Customer’s owners, managers, administrators, and practitioners.
  • “Customer Data” means the data that the Customer uploads, imports, or otherwise provides to GrowInsight through the Service, including data ingested from the Customer’s practice-management system. As described in our Privacy Policy, Customer Data does not include personally identifying client information.
  • “PMS” means a practice-management system used by the Customer, such as Halaxy or Zanda.
  • “Subscription” means the Customer’s paid subscription to the Service.
  • “Free Trial” means the 30-day trial period during which the Service can be used without payment.

2. About the Service

GrowInsight is a reporting, analytics and insight platform for allied health practices. It connects to your PMS, calculates operational, financial, and growth metrics, presents them through web dashboards, and sends AI-generated weekly or monthly Insight Emails. A summary of current features is available on growinsight.io.

We add, change, and occasionally retire features as the Service evolves. We will not materially reduce the core functionality of a feature you rely on without reasonable notice.

3. Eligibility and accounts

You may use the Service only if you can form a binding contract with us under Australian law (generally, if you are 18 or older and acting on behalf of an allied health practice or related business).

When you create an account you must provide accurate, current, and complete information, and keep it up to date. You are responsible for all activity that occurs under your account, including activity by users you invite.

GrowInsight signs you in using email-based one-time codes (OTPs) rather than reusable passwords. In practice, this means access to the email inbox associated with your GrowInsight account is access to GrowInsight. You are responsible for keeping that inbox secure, including using a strong inbox password, enabling multi-factor authentication with your email provider, and promptly updating the email address on your GrowInsight account if the registered inbox is no longer under the right person’s control (for example, when a staff member leaves the practice). Notify us immediately at security@growinsight.io if you suspect any unauthorised access to your account or to the email inbox you use to log in.

The Customer is responsible for ensuring that anyone it invites as a User (including practitioners and administrative staff) understands and follows these Terms.

4. Free Trial, subscription, and fees

Free Trial. New Customers may use the Service free of charge for 30 days from the date their account is created. We may extend, shorten, or end a Free Trial at our discretion if we suspect misuse.

Subscription fees. After the Free Trial, ongoing use of the Service requires a paid Subscription at our published rate, currently AUD $100 plus GST per month per practice account. We may change our prices from time to time; we will give existing Customers at least 30 days’ notice before any price change takes effect for their account.

Billing. Subscription fees are invoiced monthly through Xero. Invoices are payable by the due date shown on the invoice using the payment methods set out on the invoice.

Late or unpaid invoices. If an invoice remains unpaid past its due date we will attempt to contact you. We may suspend access to the Service if an invoice is more than a reasonable period overdue.

No lock-in. You can cancel your Subscription at any time, effective at the end of your current billing month. We do not pro-rate refunds for partial months unless required by Australian Consumer Law.

Taxes. All fees are exclusive of GST and any other applicable taxes, which will be added to your invoice where required.

5. Customer Data and ownership

The Customer owns the Customer Data. Nothing in these Terms transfers ownership of the Customer Data to us.

The Customer grants GrowInsight a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, display, and otherwise use the Customer Data to the extent necessary to provide, secure, support, and improve the Service.

We may use aggregated and de-identified information derived from Customer Data (for example, anonymous benchmarks across practices) for the purpose of operating, improving, and reporting on the Service, provided that the information does not identify any Customer, User, or individual.

We will not sell Customer Data, will not use it to train external AI models, and will not use one Customer’s data to influence the experience of another Customer.

Our handling of personal information is governed by our Privacy Policy at growinsight.io/privacy, which forms part of these Terms.

6. Connecting your PMS

To use the Service, the Customer must connect a supported PMS. Currently supported PMSs are Halaxy (via API) and Zanda (via zip upload from Zanda’s data-export screen).

The Customer is responsible for:

  • Ensuring it has the right to connect its PMS data to GrowInsight and for the resulting processing of that data.
  • The accuracy and completeness of the data in the connected PMS.
  • Maintaining its PMS account and any credentials needed to keep the connection working.

GrowInsight is not responsible for the operation of any PMS, for any change to a PMS that affects the integration, or for any data loss within the PMS itself.

7. Acceptable use

You agree that you will not, and will not permit any User to:

  • Use the Service in a way that breaches any law, regulation, or third-party right.
  • Use the Service to handle data you do not have the right to handle.
  • Attempt to interfere with, disrupt, or compromise the security or integrity of the Service or any other Customer’s data.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law.
  • Use the Service to build, train, or improve a competing product.
  • Share account credentials between people, except where we have provided a feature explicitly for that purpose.
  • Use automated means (scrapers, bots, etc.) to access the Service in a way not contemplated by its normal user interface or any documented API.
  • Misuse, copy, or redistribute Insight Emails or dashboard content outside your practice.

We may suspend or terminate accounts that breach this section without notice where we consider it necessary to protect the Service, other Customers, or any individual.

8. Availability, maintenance, support, and beta features

Availability. We work to keep the Service available and performant during Australian business hours and beyond, but we do not commit to a specific uptime percentage at this time. From time to time we may need to take the Service offline for scheduled maintenance, upgrades, or to respond to an incident. Where practical we will give Customers advance notice through the application or by email.

Support. Customer support is available by emailing support@growinsight.io. We aim to respond to support requests within one business day during Australian business days. Support is provided on a reasonable-endeavours basis. We do not currently commit to a specific support service level.

Beta and pre-release features. From time to time we may make beta or pre-release features available, either to all Customers or to a selected group. These features are clearly identified as beta or pre-release and may change, behave unpredictably, be temporarily unavailable, or be withdrawn at any time without notice. The disclaimers in section 13 and the limitation of liability in section 14 apply to beta features with particular force, and you should not rely on the output of a beta feature for any significant business, financial, clinical, or employment decision.

9. Intellectual property

The Service, including the GrowInsight name, logo, software, dashboards, Insight Email templates, documentation, and all related materials, is owned by GrowInsight and its licensors and is protected by Australian and foreign intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your internal business purposes during your Subscription, subject to these Terms.

Nothing in these Terms transfers any of our intellectual property rights to you. You must not remove or alter any copyright, trademark, or other proprietary notices in the Service. You must not use the GrowInsight name, logo, or any other branding without our prior written consent, except to factually identify GrowInsight as a service you use.

If you provide us with feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback to operate and improve the Service.

10. Confidentiality

Each party may receive information from the other that is confidential. Each party agrees to keep the other party’s confidential information confidential, to use it only as needed to perform under these Terms, and to protect it with at least the same care it uses to protect its own confidential information.

This obligation does not apply to information that is publicly available through no fault of the receiving party, was independently developed by the receiving party, or is required to be disclosed by law (in which case the receiving party will, where lawful, notify the other party so they can seek a protective order).

11. Privacy

GrowInsight’s handling of personal information is described in the Privacy Policy at growinsight.io/privacy. By using the Service you acknowledge our Privacy Policy. The Customer is responsible for ensuring that its own privacy notices and practices to its clients and staff adequately describe the engagement of GrowInsight as a service provider.

12. Suspension and termination

Termination by you. You can cancel your Subscription at any time through the app or by emailing hello@growinsight.io. Cancellation takes effect at the end of your current billing month.

Suspension or termination by us. We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to GrowInsight, other Customers, or any individual. Where reasonable, we will give you notice and an opportunity to fix the issue first.

Effect of termination. When your Subscription ends:

  • Your access to the Service ends.
  • We will retain your Customer Data so that, if you decide to return, your history is intact. You can request deletion of your Customer Data at any time by emailing privacy@growinsight.io, in which case we will action verified deletion requests within 30 days, except where we are required to retain certain records by law.
  • Any fees accrued up to the date of termination remain payable.
  • Any provisions of these Terms that by their nature should survive termination will do so (including ownership, confidentiality, disclaimers, limitation of liability, indemnity, and the general clauses in section 18).

13. Disclaimers, data accuracy, and AI outputs

General. The Service is provided on an “as is” and “as available” basis. To the extent permitted by law, we do not make any representations or warranties of any kind, whether express or implied, about the Service, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, security, or non-infringement. We do not warrant that the Service or any output will be uninterrupted, error-free, or always accurate.

Data accuracy depends on your PMS. GrowInsight calculates metrics from the data in your connected PMS. The accuracy and usefulness of any metric, dashboard, or Insight Email depends on the accuracy and configuration of the underlying PMS data, including (without limitation) how your practice maps appointment statuses to “Completed” and “Cancelled”, configures the intake calendar, codes services and invoices, records practitioner weekly capacity, sets targets, and maintains client and referrer records. We are not responsible for inaccuracies in GrowInsight outputs that arise from inaccuracies, gaps, or unusual configurations in the underlying PMS data. You are responsible for validating GrowInsight outputs against your own records before relying on them for any operational, financial, or employment-related decision.

AI-generated content. Parts of the Service, including the weekly and monthly Insight Emails and AI-generated reports and interpretations available inside the GrowInsight app, are generated using large-language-model technology. These outputs are designed to surface patterns and prompt useful conversations. They can occasionally misinterpret trends, miss context, or surface a Recommended Action that does not apply to your circumstances. You should treat AI-generated outputs as one input into your decision-making, not as a substitute for your own judgement, your team’s input, or qualified professional advice. We do not warrant that AI-generated outputs will be accurate, complete, or appropriate for any particular decision.

Not professional advice. GrowInsight provides operational information and is not a substitute for clinical, medical, legal, financial, accounting, tax, or employment advice. In particular, while the Service includes practitioner-level performance reporting (utilisation, dropout rate, client retention, profitability margin, and similar metrics), decisions about your practitioners’ employment, performance management, remuneration, or rostering remain entirely yours. You should seek appropriate professional advice for any significant decision.

Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, or data, even if that party has been advised of the possibility of such damages.

In particular, and without limiting the previous paragraph, GrowInsight is not liable for any loss arising out of or in connection with:

  • decisions made in reliance on GrowInsight outputs (including dashboards, metric calculations, forecasts, recommendations, and AI-generated content) where the decision should reasonably have been informed by your own validation, professional advice, or judgement;
  • inaccuracies in GrowInsight outputs that arise from the configuration, completeness, or accuracy of data in your connected PMS;
  • the operation of, or any change to, any third-party practice-management system;
  • temporary unavailability of the Service, scheduled maintenance, or the behaviour of beta or pre-release features.

To the maximum extent permitted by law, GrowInsight’s total aggregate liability to a Customer or User in connection with the Service, whether in contract, tort (including negligence), under statute, or otherwise, will not exceed the total amount the Customer has paid to GrowInsight for the Service in the three (3) months immediately preceding the event giving rise to the liability.

This section does not limit any liability that cannot be limited or excluded by law, including liability under the Australian Consumer Law.

15. Indemnity

The Customer agrees to indemnify and hold GrowInsight harmless from any claim, loss, damage, or expense (including reasonable legal fees) arising out of or relating to:

  • the Customer’s breach of these Terms;
  • the Customer’s misuse of the Service;
  • the Customer’s violation of any law or third-party right; or
  • a claim by a User, client, or third party that the Customer’s use of the Service has caused them harm, except to the extent that harm was caused by GrowInsight’s own breach of these Terms or by GrowInsight’s negligence.

16. Force majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of war or terrorism, civil unrest, pandemics, internet or telecommunications failures, or actions by government or regulatory authorities. The affected party will take reasonable steps to mitigate the effects and to resume performance as soon as practical.

17. Changes to these Terms

We may update these Terms from time to time. If we make a material change we will notify active Customers by email and post a notice in the app for a reasonable period before the change takes effect. The “Last updated” date at the top will always tell you when these Terms last changed. Your continued use of the Service after the change takes effect constitutes your acceptance of the updated Terms. If you do not accept the change, you may cancel your Subscription before it takes effect.

18. General

Governing law and jurisdiction. These Terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them.

Dispute resolution. Before starting any legal proceeding (other than for urgent injunctive relief), the parties will attempt to resolve the dispute in good faith by direct negotiation between senior representatives.

Entire agreement. These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, are the entire agreement between you and us about the Service.

Severability. If any part of these Terms is found to be invalid or unenforceable, the rest will continue in force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms (in whole or in part) to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.

Notices. We may send notices to you by email to the address associated with your account or by posting them in the app. You can send notices to us at hello@growinsight.io.

Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
